Change in Registered Office Address

Section 12 of the Companies Act 2013 mandates all companies or LLPs to have a registered office at the time of or within 30 days of incorporation. The registered office address of a company or LLP is the principal place of business and all official correspondence from the Ministry of Corporate Affairs (MCA) is sent to the mentioned address only. Therefore, any change of address to the registered office should be intimated to the RoC or MCA.

A company can have other offices such as an administrative office, a corporate office, a branch office, and so on. However, only the registered office address should be notified to the MCA. No intimation to the RoC or MCA is required regarding the establishment or change of address of other offices belonging to the company.

CATEGORY I : WITHIN SAME CITY/TOWN/VILLAGE


The process to change the registered office in the same city is very simple.

  • Firstly, the company must arrange a board meeting and pass a board resolution.
  • The company needs to file a form INC22 with the MCA. It should be filed within 30 days of passing the board resolution.
  • The utility bill for business address proof, NOC from the owner, and the rental agreement is the place is rented must be attached.

  • File MGT-14 within 30 days of the Special Resolution

  • Conduct a board meeting and pass board resolution
  • Obtain approval of company in general meeting by way of passing special resolution
  • Take approval from the Regional Director
  • Alter Memorandum of Association (MoA)
  • File MGT-14 within 30 days of the Special Resolution
  • File Form INC- 23
  • Publish the notice in form INC-26 in the form of advertisement not more than 30 days before date of filing of an application
  • By filing Form INC- 28 within 30 days from the receipt of the order of the Regional Director
  • By filing Form INC- 22 within 30 days from the order of the Regional Director
  • Necessary alteration is required in the Memorandum of Association (MoA)

  What is the penalty for non-compliance regarding registered office provisions under the Act?
A company must comply with all the provisions of the Act. Non-compliance with the provisions of the Act will attract penalties. The company and every person in default will be liable for a penalty of Rs.1,000 for every day the default continues but not exceeding Rs.1 lakh.
  What are the circumstances under which a company can change its registered office?

  Is a registered office the same as a head office?
Each business has a principal place of business that characterises the personality of the substance and its place of home. The chief place of business is called the registered office and when there is an occurrence of partnership or different business from the chief place, such address is called it’s head office. However, there is not much difference between a registered office and the head office. The business conducted in the office would determine the operations of the office.
  Can I change my registered office from a commercial address to a residential address?
Yes, the address can be shifted from a commercial address to a residential place, since a registered office can be kept at a residential address too.
  Can I change my registered office immediately after company incorporation?
Yes, it can be changed whenever the registered office needs to be changed. It can be changed at any time after incorporation by following the process laid down in the Act.
  Do you need the permission from shareholders to change the registered office address to another location in the same city?
No, companies that are relocating to another location in the same village, town or city limits do not need the permission of their shareholders or any other authorities. However, to do so, they must notify the Registrar of Companies of the changes, via the e-Form INC-22.
